Terms of Service

Welcome to IT Spar. By accessing or using our website, products, or services, you agree to be bound by these Terms of Service (the "Terms"), applicable policies, and all relevant laws and regulations.

If you do not agree with these Terms, you must not access or use our services. The materials and software on this website are protected by applicable intellectual property laws.

You represent that you are legally capable of entering into a binding agreement. If you use our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

IT Spar provides IT consulting, web development, mobile development, backend development, cloud and cybersecurity services, and CRM solutions. We also provide proprietary software products including CRMDost and SalePro through web and mobile platforms.

Service scope, timelines, deliverables, support levels, and service-specific commitments may be further defined in proposals, statements of work, order forms, or subscription plans.

You are responsible for maintaining the confidentiality of account credentials and for activities performed under your account. You must notify us promptly of any suspected unauthorized access or security breach.

You agree not to misuse our services. Prohibited activities include:

• violating applicable laws or regulations,
• infringing intellectual property or privacy rights,
• uploading malware, harmful code, or abusive traffic,
• attempting unauthorized access, interference, or service disruption,
• using services to send unlawful, deceptive, or unsolicited communications.

Permission is granted to temporarily access materials on IT Spar's website for personal, non-commercial transitory viewing only. This is a license grant, not a transfer of title. Under this license, you may not:

• modify or copy website materials beyond permitted use,
• use materials for commercial exploitation or public display without authorization,
• attempt to decompile or reverse engineer software on our website except where law permits,
• remove copyright, trademark, or proprietary notices,
• mirror materials on another server without written consent.

This license terminates automatically if you violate these restrictions and may be terminated by IT Spar at any time.

Pricing for services may be project-based, milestone-based, or subscription-based depending on the selected service or product plan. Unless stated otherwise, fees are exclusive of taxes, duties, and other government charges.

For custom projects, commercial terms are defined in the applicable proposal or agreement. For SaaS products, subscription fees are billed per the selected billing cycle and renew automatically unless canceled before renewal.

We may suspend or terminate access where reasonably necessary, including for non-payment, security risk, abuse, legal compliance, or material breach of these Terms. Where practical, we will provide notice and an opportunity to cure.

Upon termination, your right to use the affected services ends immediately. Provisions that by nature should survive termination will remain in effect, including payment obligations, intellectual property, disclaimers, liability limits, and dispute clauses.

For custom development, intellectual property ownership and transfer terms are governed by the specific client agreement. Unless agreed otherwise, ownership transfer may be conditioned on full payment.

For SaaS products (including CRMDost and SalePro), IT Spar and its licensors retain all rights, title, and interest. You receive a limited, non-exclusive, non-transferable, revocable license to use the software during the active subscription term.

IT Spar retains the right to reuse generalized know-how, methods, frameworks, and non-client-specific components developed in the course of service delivery.

You retain responsibility for data you submit to our systems and for ensuring you have lawful rights and permissions to process that data. Our handling of personal data is described in our Privacy Policy.

For business customers, data processing responsibilities may be further defined in contractual data processing terms where applicable.

Where you use WhatsApp integration features, you must comply with applicable Meta Platform, WhatsApp Business, messaging, and consent requirements. You are responsible for message content, recipient consent, and lawful communication practices in your jurisdiction.

IT Spar may limit, suspend, or disable integration features where required by platform policy, legal obligations, security concerns, or provider-side restrictions outside our control.

Our services may include or connect with third-party services, content, or links. We do not control third-party offerings and are not responsible for their availability, security, or practices. Your use of third-party services is governed by their terms and policies.

We may modify, update, or discontinue features from time to time to improve performance, security, compliance, or functionality. We make reasonable efforts to provide reliable services, but uninterrupted or error-free operation is not guaranteed.

To the maximum extent permitted by law, services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.

To the maximum extent permitted by law, IT Spar and its affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, use, or data.

Where liability cannot be excluded, our aggregate liability for claims arising out of or relating to the services will be limited to the amounts paid by you to IT Spar for the affected service during the 12 months preceding the event giving rise to liability.

You agree to defend, indemnify, and hold harmless IT Spar and its affiliates from claims, liabilities, damages, losses, and expenses arising from your misuse of services, breach of these Terms, violation of law, or infringement of third-party rights.

These Terms are governed by and construed in accordance with the laws applicable in Rajasthan, India, unless mandatory local law requires otherwise. Subject to applicable law, courts located in Jaipur, Rajasthan shall have exclusive jurisdiction over disputes arising from these Terms.

We may revise these Terms from time to time. Updated versions will be posted on this page with the revised "Last Updated" date. Continued use of our services after changes become effective constitutes acceptance of the updated Terms.
